Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the DuesFlow platform operated by DuesFlow, Inc. ("us", "we", "our", or the "Company").
1. Agreement to Terms
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
DuesFlow provides a software platform ("Service") that enables:
- HOA/Condo Management: Tools for homeowners associations, condominium associations, and similar community organizations to manage dues collection, billing, and member communications.
- Payment Processing: Facilitation of electronic payment transactions through our third-party payment processor, Stripe.
- Community Marketplace: A platform for community members to list room rentals and engage in service/project exchanges.
- Member Portals: Online access for property owners to view statements, make payments, and manage their accounts.
3. User Accounts and Registration
3.1 Account Creation
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.
3.2 Account Security
You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3.3 Account Types
- Association Administrators: Users who manage HOA/condo accounts on behalf of their communities.
- Property Owners: Individuals who own property within a managed community.
- Community Members: Individuals who participate in community features such as the marketplace.
4. Payment Terms
4.1 Payment Processing
All payment transactions are processed through Stripe, Inc., our third-party payment processor. By using our payment services, you also agree to Stripe's Services Agreement.
4.2 Platform Fees
DuesFlow charges a platform fee on transactions processed through our Service. Current fee structures are:
- Dues Collection: 2.9% + $0.30 per transaction (includes Stripe processing fees)
- Marketplace Transactions: Platform fee as disclosed at time of transaction
Fees are subject to change with 30 days' written notice to affected users.
4.3 Refunds and Chargebacks
Refund policies are determined by individual associations for dues payments and by transaction parties for marketplace transactions. DuesFlow reserves the right to deduct chargeback fees and related costs from future payouts if chargebacks occur.
4.4 Payout Schedule
Funds collected on behalf of associations are transferred according to the payout schedule configured in Stripe Connect. Standard payout timing is 2-7 business days depending on account configuration.
5. Community Marketplace Terms
5.1 Room Rentals
Users who list accommodations through the marketplace ("Hosts") agree to:
- Provide accurate descriptions and photos of their listings
- Comply with all applicable local, state, and federal laws regarding short-term rentals
- Obtain any required permits, licenses, or insurance
- Honor confirmed bookings unless cancellation is permitted under stated policies
- Maintain safe and habitable premises
Users who book accommodations ("Guests") agree to:
- Provide accurate identity information
- Treat accommodations with respect and care
- Comply with house rules and checkout procedures
- Be responsible for any damage caused during their stay
5.2 Projects and Services
DuesFlow provides a platform for community members to post projects and bid on work. DuesFlow is not a party to any agreements between project posters and contractors and does not guarantee the quality, safety, or legality of services rendered.
5.3 Platform Role
DuesFlow is a platform, not a party to marketplace transactions. We do not own, manage, or control the properties listed or services offered. We are not responsible for the conduct of users or the quality, safety, or legality of listings, services, or transactions.
6. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any laws
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Interfere with or disrupt the Service or servers
- Attempt to gain unauthorized access to any portion of the Service
- Use automated means to access or collect data from the Service
- Engage in money laundering or terrorist financing
- Violate the intellectual property rights of others
- Harass, abuse, or harm another person
- Post content that is defamatory, obscene, or otherwise objectionable
- Circumvent any fees owed to DuesFlow
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of DuesFlow and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used without our prior written consent.
8. User Content
You retain ownership of content you submit to the Service. By submitting content, you grant DuesFlow a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service.
You represent that you own or have the right to submit all content you provide and that such content does not violate these Terms or any third-party rights.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
DuesFlow, its subsidiaries, affiliates, and licensors do not warrant that:
- The Service will function uninterrupted, secure, or available at any particular time or location
- Any errors or defects will be corrected
- The Service is free of viruses or other harmful components
- The results of using the Service will meet your requirements
11. Limitation of Liability
IN NO EVENT SHALL DUESFLOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Any marketplace transactions between users
- Any errors in payment processing or fund transfers
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS, OR (B) ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless DuesFlow and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:
- Your use of and access to the Service
- Your violation of these Terms
- Your violation of any third-party right, including any intellectual property or privacy right
- Any claim that your content caused damage to a third party
- Your marketplace listings, bookings, projects, or transactions
13. Dispute Resolution
13.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
13.2 Arbitration Agreement
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Wilmington, Delaware.
13.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
13.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
14. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.
If you wish to terminate your account, you may contact us at support@duesflow.com. Association accounts must settle all outstanding balances before termination.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date.
Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new terms, please stop using the Service.
16. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between you and DuesFlow regarding our Service and supersede all prior agreements and understandings.
